Guillermo R. Picó, Esq. is the founder and the managing member of the Firm. His practice in the Firm is focused on corporate and commercial law, mergers and acquisitions, structured finance, real estate and healthcare law.

Mr. Picó has represented clients in the design and organization of corporate and other legal entities and structures created for the development, establishment, acquisition, financing and operation of numerous business ventures in Puerto Rico. He has also been involved as bond, underwriter’s and issuer’s counsel in exempt and registered securities offerings for the financing of resort hotels, low- and moderate-income housing, commercial office and retail space, educational institutions and other public and private enterprises, as well as in the organization and public offering of stock of Puerto Rico registered investment companies.

In the field of real estate law and structured finance, he has represented both private commercial and residential developers and public and private financial institutions in transactions leading to the development of mixed-use (residential, office and retail) facilities, public infrastructure and master-planned communities, renewable energy generation and storage facilities, and housing for persons of low- and moderate-income in Puerto Rico, among others, including the acquisition of distressed assets from financial institutions and the design and establishment of special purpose entities and financial structures involving various types of tax credits or other incentives.

Mr. Picó is actively engaged in assisting individuals and business entities seeking to move to Puerto Rico and to engage in business therein with the benefits of the Puerto Rico Incentives Code (Act 60-2019) and its predecessors, the “Act to Promote the Exportation of Services” (Act 20-2012) and the “Act to Encourage the Transfer of Investors to Puerto Rico” (Act 22-2012), more commonly known as Acts 20 and 22.

For over twenty-five years, Mr. Picó has advised numerous corporate governance clients, including the audit committees of a bank holding company and of seventeen registered Puerto Rico investment companies, the Board of Trustees of Puerto Rico Science, Technology and Research Trust, and the Board of Directors of Invest Puerto Rico, Inc. Mr. Picó also has served as corporate officer of Puerto Rico registered investment companies and currently serves as director or officer of several privately held Puerto Rico corporations.

Mr. Picó has also been engaged in the practice of healthcare law, representing health insurance companies, healthcare managers and medical practitioners, in the drafting and negotiation of all types of contracts relevant to their businesses and in the corporate practice of medicine in Puerto Rico.

Prior to organizing the Firm in 2001, Mr. Picó was a partner in the Corporate Department of Pietrantoni Méndez & Alvarez LLP, which he joined as a law clerk in 1993, became an associate in 1994 and a partner in 1999. While at PMA, Mr. Picó’s main areas of practice were corporate, commercial and securities laws, corporate and public finance, real estate and healthcare law.

Mr. Picó was born in San Juan, Puerto Rico on March 10, 1969. He obtained a Bachelor of Arts, cum laude, from Harvard University in 1991 and a law degree from the University of Puerto Rico School of Law in 1994.

Mr. Picó is admitted to practice law in the Commonwealth of Puerto Rico and the United States Court of Appeals for the First Circuit and is a licensed notary public in the Commonwealth of Puerto Rico. He is a member of the American Bar Association Section of Business Law. Mr. Picó is fluent in English and Spanish and has a working knowledge of Portuguese and French.
